Summary

Fiat is not the "best deal" for Chrysler it is the only deal.  Other car makers that had prior business relationships with the company have walked away. Fiat has much to gain in terms of plants, offices, engineering facilities and a brand name, probably Jeep.  Chrysler is likely to be a Fiat brand until the management figures out if it really has any value in the eyes of US car buyers.

Analysis

Based on the court report it seems that Fiat may be the only option for Chrysler.  Hyundai, who owns Kia, Mitsubishi, who had a former business relationship with Chrysler, and Nissan, whose CEO, Carlos Ghosn, have all walked away from further dealings with Chrysler over the past five years or so.  If former business partners have no interest in the company then who would?

It appears that Fiat wants back into the US market badly enough that they are willing to work with a company that no one else will.  The end result is likely to be that Chrysler becomes simply a Fiat brand and Fiat gets the plants, offices, engineering facilities and dealer organization to make their own.
