This is the excess of the price paid for a company being acquired over the current fair-market value of the identifiable net assets of the company being acquired. Before goodwill can be recognized in the books, the buyer must assign an identifiable portion of the fair-market value to any assets being acquired. After this has been done, any remainder of the purchase price becomes "goodwill."
